These terms of service (“Terms”) set forth the terms applicable to your online streaming audio station (“Station”) for the use of proprietary online services and software applications (“RADLY”) offered by AvMap Srlu. (“AvMap”).
By checking the box provided on the “Sign-up webpage”, ( http://www.radly.fm/broadcaster ) you agree to these terms. If you are entering into these terms on behalf of a company or other legal entity, then you represent that you have the authority to bind that company or other legal entity, and all references to “you” in these terms will apply to the company or legal entity.
These Terms govern your use of RADLY to make available for re-broadcasting the transmissions of your Station, and any sound recordings and musical works or other content embodied therein (collectively, “Station Content”), to RADLY’s global audience of listeners (“End-Users”). By entering into these Terms, you hereby agree that your Station may be included in RADLY’s directory of radio stations and other online content.
Filling this form, you authorize free on any charge AvMap to re-broadcast the provided audio streaming URL for the RADLY in-car radio project and to keep AvMap informed about any change of the URL streaming or any maintenance operations via email to service@radly.fm.
The use of RADLY system for re-broadcasting your streaming content to in-car radios is free of charge to your radio and the user.
Subject to the terms and conditions of these Terms, AvMap grants you a non-exclusive, non-transferable, non-sub-licensable, revocable and limited license to access and use RADLY for the purpose of re-broadcasting your radio stream to the cars parts of the RADLY project network.
In connection with your use of RADLY, you will comply with all applicable laws, rules and regulations.
AvMap retains all right, title and interest, including all intellectual property rights, in and to RADLY, including all enhancements, modifications and derivatives thereto. You agree to use RADLY solely as authorized in these Terms. You further acknowledge that the license granted pursuant to these Terms is not a sale and does not transfer to you title or ownership of RADLY but only a right of limited use. All rights not expressly granted hereunder are reserved to AvMap.
You grant AvMap a royalty-free, nonexclusive, worldwide license to reproduce, distribute, publicly display, publicly perform, transmit, communicate to the public, resize, and otherwise use and exploit (collectively, “Use”) during the validity of these Terms any of your slogans, logos, trademarks and/or service marks (collectively, “Marks”) that you upload to the Sign-Up Page or otherwise make available to AvMap, to advertise, market and promote the Station and the availability of the Station on or off RADLY in any and all media now known or hereafter devised. AvMap will Use your Marks in accordance with any guideline or other instructions that you enter into the fields provided on the Sign-Up Page.
Subject to the license you grant to AvMap above, you retain all right, title and interest in and to your Marks, and all intellectual property rights embodied therein.
You represent and warrant to AvMap that, subject to the Restrictions that you have specified in the RADLY Registration Form: (a) any and all Station Content that you transmit on your Station or otherwise provide to AvMap, including, without limitation, your Marks or any information you provide through the Sign-Up Page is owned and/or licensed by you for use on, through or in association with your Station and does not (i) infringe or violate any intellectual property rights, rights of publicity or privacy, or moral rights of any third party; or (ii) violate any applicable law or regulation; (b) you have all rights, licenses and permissions necessary for you to perform, transmit, communicate to the public, reproduce, distribute and otherwise use and exploit all of Your Content; (c) you have the right, power and authority to grant any and all necessary rights and license provided under this Agreement with respect to your Marks; and (d) no other licenses, permissions, consents or 8. Representation and Warranties. You represent and warrant to AvMap that, subject to the Restrictions that you have specified in the RADLY Registration Form: (a) any and all Station Content that you transmit on your Station or otherwise provide to AvMap, including, without limitation, your Marks or any information you provide through the Sign-Up Page is owned and/or licensed by you for use on, through or in association with your Station and does not (i) infringe or violate any intellectual property rights, rights of publicity or privacy, or moral rights of any third party; or (ii) violate any applicable law or regulation; (b) you have all rights, licenses and permissions necessary for you to perform, transmit, communicate to the public, reproduce, distribute and otherwise use and exploit all of Your Content; (c) you have the right, power and authority to grant any and all necessary rights and license provided under this Agreement with respect to your Marks; and (d) no other licenses, permissions, consents or authorizations must be obtained from or payments made to any other person or entity by AvMap arising out of AvMap’s exercise of any rights under this Agreement with respect to your Station Content.
AvMap may at its sole discretion and from time to time change, add or remove features and functionality of RADLY without any notice to you and without liability to you.
RADLY is owned and operated by AvMap, and AvMap reserves the right to revise these Terms in its sole discretion at any time. AvMap will endeavor to provide 15 days prior notice to you, by e.mail and to the e.mail address you entered in the Sign-Up Page, of material changes to these Terms. Unless otherwise provided, revisions to these Terms are effective 15 days after posting and your continued use of the Service after a revised version of these Terms has been posted by AvMap constitutes your binding acceptance of such. Notwithstanding the preceding sentences of this point 6, non-revisions to these Terms will apply to any dispute between you and AvMap that arose prior to the effective date of such revision.
a) Term. These Terms are in effect since the date of signature. Either party may terminate these Terms for convenience at any time for any reason. You may terminate these Terms by notifying AvMap at unsubscribe@radly.fm. AvMap may terminate these terms by notifying you at the email address provided in the RADLY Registration Form.
b) Effect of termination. Upon expiration or termination of these Terms for any reason, all licenses granted under these Terms will immediately terminate, and AvMap will remove your Marks from RADLY.
c) Survival. All terms and provisions of this Agreement, which by their nature are intended to survive any termination or expiration of these Terms, will so survive.
AvMap reserves the right to assign this agreement to another party, in which case the assignment will be duly notified on the RADLY website.
